1. Agreement to these terms

By accessing https://webinch.com, contacting Webinch, or entering into a proposal, statement of work (SOW), or master services agreement with us, you agree to these Terms & Conditions and our Privacy Policy.

If you are accepting on behalf of a company, you confirm that you have authority to bind that company. If you do not agree, do not use the site or our services.

2. Who we are

3. Website use

You may browse our site for lawful, non-commercial information about our services. You agree not to:

• Misuse the site, attempt unauthorized access, scrape content at scale, or interfere with its operation
• Copy, redistribute, or commercially exploit site content without our prior written consent
• Submit false, misleading, or harmful information through forms or email
• Use the site in any way that violates applicable law

4. Services and proposals

Descriptions of services on the website are for general information. Binding scope, fees, timelines, and deliverables are set out only in a written proposal, SOW, order form, or signed agreement between you and Webinch.

We may update marketing content at any time. Quotes are valid for the period stated (or 30 days if none is stated) unless withdrawn earlier.

5. Client responsibilities

To deliver effectively, you agree to:

• Provide timely access to stakeholders, assets, credentials, and feedback
• Ensure you have rights to materials you supply (brand assets, content, data, third-party tools)
• Review and approve milestones within agreed windows
• Pay invoices according to the payment schedule in your agreement

6. Fees and payment

Fees, deposits, retainers, and payment terms are defined in your proposal or SOW. Unless otherwise stated, invoices are due within the period specified (commonly Net 15 or Net 30).

Late or failed payment may pause work, delay delivery, or lead to suspension/termination. You remain responsible for fees for work performed and approved change orders.

Taxes, bank fees, and third-party platform costs (hosting, licenses, ads) are your responsibility unless we expressly agree otherwise in writing.

7. Intellectual property

Pre-existing tools, frameworks, libraries, templates, and know-how of Webinch remain our property. Upon full payment of amounts due for a deliverable, we assign to you the rights in the custom work product created specifically for you under the SOW, excluding our pre-existing materials and any third-party components.

Third-party software, fonts, stock assets, and open-source libraries remain subject to their own licenses. We will identify material third-party dependencies where reasonably practical.

Portfolio rights: unless your agreement says otherwise, we may reference the engagement and show non-confidential work in our portfolio, case studies, and marketing after launch or with your consent.

8. Confidentiality

Each party will protect the other’s non-public business, technical, and commercial information with reasonable care and use it only to perform the engagement, except where disclosure is required by law or the information is already public through no fault of the receiving party.

9. Warranties and disclaimers

We will perform services with reasonable skill and care consistent with professional digital agency practice. The website and free informational content are provided “as is” without warranties of any kind.

We do not guarantee specific business outcomes (traffic, rankings, revenue, or conversion rates) unless expressly written into an SOW with defined success criteria.

To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement regarding the website.

10. Limitation of liability

To the fullest extent permitted by law, Webinch is not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill, arising from the website or our services.

Our aggregate liability arising out of any engagement is limited to the fees you paid us for the specific services giving rise to the claim in the three (3) months preceding the claim, except where liability cannot be limited by applicable law (e.g. fraud or personal injury caused by negligence).

11. Termination

Either party may terminate an engagement as set out in the applicable agreement. Upon termination, you will pay for work completed and approved expenses through the effective date. Provisions on IP, confidentiality, payment, and liability survive termination.

12. Changes to these terms

We may update these Terms & Conditions from time to time. The “Last updated” date at the top of this page will change when we do. Continued use of the website after changes constitutes acceptance of the revised terms. Material changes to active client agreements will be handled under those agreements.

13. Governing law

These terms are governed by the laws applicable to Webinch’s principal place of business, without regard to conflict-of-law rules, unless your signed agreement specifies otherwise. Courts in that jurisdiction will have exclusive venue for disputes arising from website use, subject to mandatory consumer protections where they apply.
